Vendor Listing Terms and Conditions Agreement
Effective Date: January 02, 2026
1. Definitions
- "Platform" refers to the BAMUPRO website and mobile application as a directory service
- "Vendor" refers to the individual or business entity listed on the platform
- "Customer" refers to the individual browsing the directory and contacting vendors
- "Listings" refers to product and service information displayed by the Vendor on the platform
- "Stars" refers to the virtual currency used for featured listings on the platform
- "Directory Service" refers to the platform's function as a listings directory only, not a marketplace
- "Transaction" refers to any business conducted directly between Vendor and Customer, outside the platform
2. Agreement Acceptance
By registering as a vendor, you:
- Agree to be bound by this Vendor Listing Agreement
- Confirm you have the legal authority to enter into this agreement
- Acknowledge you have read and understood all terms
- Agree to comply with all platform policies and guidelines
- Understand that BAMUPRO is a directory only and does not facilitate transactions
- Acknowledge that all business transactions occur directly between you and customers
This agreement becomes effective upon your registration as a vendor and remains in effect until terminated.
3. Directory Nature of Service
BAMUPRO operates as a directory and listings platform only. This has important implications:
3.1 What We Provide
- A platform to list your business, products, and services
- Visibility to potential customers in your area
- Tools to feature your listings (via Star System)
- Contact information display for customer inquiries
- Location-based search and filtering capabilities
3.2 What We Do NOT Provide
- We do NOT process payments for products or services
- We do NOT handle orders or order fulfillment
- We do NOT act as an intermediary in transactions
- We do NOT guarantee customer quality or transaction success
- We do NOT resolve disputes between vendors and customers
3.3 Vendor Independence
As a vendor on our directory, you operate independently. You are responsible for:
- All negotiations and agreements with customers
- Setting your own prices and terms
- Processing payments and handling transactions
- Product/service delivery and fulfillment
- Customer service and dispute resolution
4. Vendor Responsibilities
As a listed vendor, you agree to:
- Provide accurate and complete business information
- Maintain up-to-date store information and product listings
- Respond promptly and professionally to customer inquiries
- Ensure product/service quality and safety standards
- Comply with all applicable laws and regulations
- Maintain proper business licenses and permits
- Handle customer data in accordance with privacy laws
- Pay applicable taxes on your sales
- Display accurate pricing and availability information
- Honor your own terms and policies with customers
5. Listing Requirements
All listings must:
- Be accurately described with clear information
- Include high-quality images (if applicable)
- Comply with all safety and quality standards
- Be in compliance with Philippine laws and regulations
- Not infringe on intellectual property rights
- Have clear pricing and quantity information
- Include accurate contact information
- Not contain false or misleading claims
BAMUPRO reserves the right to remove any listing that violates these requirements or our policies.
6. Pricing Disclosure
As a directory, we do not control or process payments for products/services. However, for transparency:
6.1 Vendor Pricing
- Vendors set their own prices for products/services
- Prices must be clearly displayed in Philippine Peso (₱)
- All applicable taxes must be accounted for in pricing
- Vendors may offer discounts and promotions independently
- Price changes should be promptly updated in listings
6.2 No Platform Commission
BAMUPRO does NOT charge commission on vendor sales because:
- We do not process transactions between vendors and customers
- We do not handle payments for products/services
- We are not involved in the transaction process
Revenue Model: Our revenue comes exclusively from the Star System for featured listings, not from vendor sales.
6.3 Financial Independence
Vendors are solely responsible for:
- Setting up their own payment processing systems
- Handling cash, bank transfers, GCash, Maya, or other payment methods
- Providing receipts and documentation to customers
- Managing their own accounting and bookkeeping
- Remitting appropriate taxes to government authorities
7. Star System for Featured Listings
The platform operates on a star-based system for featured listings only:
7.1 Purpose of Stars
- Stars are used to feature listings for increased visibility
- Featured listings appear more prominently in search results
- Stars are optional - vendors can list without purchasing stars
- Star purchases support the directory platform operation
7.2 Star Purchase Terms
- Stars can be purchased through star packages
- Each featured listing day costs 5 stars (subject to change with notice)
- Stars are non-refundable and non-transferable
- Unused stars expire after 365 days
- Star pricing and policies may be modified with 30 days notice
7.3 Payment Processing for Stars
- We process payments for stars only, not for products/services
- Payments are accepted via GCash, Maya, Bank Transfer, or Cash
- Payment for stars must be completed before featuring listings
- We use third-party payment processors and are not responsible for their actions
8. Customer Interactions & Transactions
As a directory, we facilitate connections but do not control interactions:
8.1 Contact Facilitation
- We display your contact information to potential customers
- Customers may contact you directly via phone, social media, or in-person
- We do not monitor or record conversations between vendors and customers
- You are responsible for managing all customer communications
8.2 Transaction Independence
- All transactions occur directly between you and customers
- You set your own terms, conditions, and policies
- You handle your own payment processing and fulfillment
- You provide your own customer service and support
- You resolve your own disputes and complaints
8.3 No Platform Involvement
BAMUPRO is not involved in and assumes no responsibility for:
- Product/service quality or safety
- Transaction terms or fulfillment
- Payment processing or disputes
- Customer satisfaction or complaints
- Delivery or service issues
9. Prohibited Items and Activities
Vendors may not list:
- Illegal or regulated substances
- Counterfeit or pirated goods
- Weapons or dangerous items
- Adult content or materials
- Products that infringe intellectual property
- Live animals (except as permitted by local regulations)
- Recalled or unsafe products
- Items promoting hate speech or discrimination
- Services that violate Philippine laws
Violation of prohibited items policy may result in immediate listing removal and account termination.
10. Intellectual Property
- Vendors retain ownership of their product/service intellectual property
- BAMUPRO retains ownership of platform intellectual property
- Vendors grant BAMUPRO license to display listing information in the directory
- Use of BAMUPRO trademarks requires written permission
- Vendors warrant they have rights to all content they upload
11. Termination
11.1 Vendor Termination
Vendors may terminate this agreement by:
- Providing 14 days written notice
- Removing all active listings
- Settling any outstanding star balances
- Notifying customers of business closure (recommended)
11.2 Platform Termination
BAMUPRO may terminate this agreement if:
- Vendor violates terms of this agreement
- Vendor engages in fraudulent or illegal activity
- Vendor provides false or misleading information
- Vendor fails to maintain listing quality standards
- Required by law or regulation
- Platform discontinues directory service
11.3 Effects of Termination
- All listings will be removed from the directory
- Unused stars will be forfeited (non-refundable)
- Vendor profile will be deactivated
- Historical data may be retained as required by law
12. Liability and Indemnification
Vendors agree to indemnify and hold harmless BAMUPRO from any claims arising from:
- Product/service quality or safety issues
- Misrepresentation of listings
- Violation of laws or regulations
- Intellectual property infringement
- Customer disputes or complaints
- Business transactions with customers
- Any actions or omissions as a business
12.1 Platform Liability Limitation
BAMUPRO liability is strictly limited to:
- Refund of unused star purchases (at our discretion)
- Correction of directory listing errors
We are NOT liable for:
- Business losses or damages from directory use
- Customer actions or transaction outcomes
- Product/service quality issues
- Any third-party actions
13. Dispute Resolution
Note: We do not resolve disputes between vendors and customers. However, for disputes between vendors and BAMUPRO:
- Disputes will first be addressed through direct communication
- Unresolved disputes may be submitted to mediation
- Mediation will be conducted in accordance with Philippine law
- Venue for disputes shall be in Makati City, Philippines
- Each party bears its own legal costs
14. Amendments
BAMUPRO may amend this agreement with 30 days notice. Continued use of the platform after amendments constitutes acceptance of the new terms.
Major changes to star pricing or policies will be communicated with 60 days notice.
Vendors are responsible for regularly reviewing agreement updates.
