Terms and Conditions of Use

1. Agreement to Terms
By accessing or using the BAMUPRO platform, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you must not use our services.
These Terms apply to all visitors, users, and others who access or use the Service as a listings directory.
2. Directory Nature of Service
BAMUPRO is a directory and listings platform only. We provide:
- A platform for vendors to list their products and services
- A directory for customers to discover local vendors and products
- Contact information and location details for vendors
- Tools for vendors to feature their listings (via the Star System)
What We Do NOT Do:
- We do NOT process payments for products or services between users and vendors
- We do NOT act as an intermediary, agent, or representative in any transaction
- We do NOT handle orders, fulfillment, or delivery of products
- We do NOT guarantee the quality, safety, or legality of any products or services listed
- We do NOT resolve disputes between users and vendors
All transactions, communications, and agreements are solely between users and vendors.
3. Eligibility
To use our Services, you must:
- Be at least 18 years of age or the age of majority in your jurisdiction
- Have the legal capacity to enter into a binding contract
- Provide accurate and complete information during registration
- Not be suspended or removed from our platform previously
Vendors must comply with all applicable local business regulations and licensing requirements.
4. User Accounts
When you create an account with us, you must:
- Provide accurate, current, and complete information
- Maintain the security of your password
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized access or security breach
- Update your information promptly if it changes
We reserve the right to disable any account at our sole discretion if we believe you have violated these Terms.
5. Star System & Featured Listings
The Star System allows vendors to feature their listings for increased visibility. This system involves:
- Star Purchases: Vendors may purchase stars to feature their product listings
- Featured Listings: Stars are used to make listings more visible in search results
- Non-Refundable: Star purchases are generally non-refundable
- No Monetary Value: Stars have no cash value and cannot be exchanged for money
Payment Processing:
- We process payments for stars only, not for products or services
- All payments for stars are processed through third-party payment processors
- We are not responsible for the actions of third-party payment processors
The Star System is optional. Vendors may list products without purchasing stars, though featured placement may be limited.
6. Third-Party Transactions & Responsibilities
User Responsibility: You are solely responsible for:
- Verifying vendor credibility, legitimacy, and business credentials
- Negotiating terms, prices, and conditions directly with vendors
- Arranging payment, delivery, and fulfillment directly with vendors
- Ensuring product quality, safety, and compliance with laws
- Resolving any disputes directly with vendors
Vendor Responsibility: Vendors are solely responsible for:
- Accurate product descriptions, pricing, and availability
- Complying with all applicable laws and regulations
- Honoring their own terms, policies, and commitments
- Product quality, safety, and any warranties offered
- Tax collection and remittance for their sales
No Platform Involvement: We are not a party to, and have no responsibility for, any transaction between users and vendors.
7. Prohibited Activities
You agree not to:
- Use the Service for any illegal purpose
- Violate any laws in your jurisdiction
- Infringe upon the intellectual property rights of others
- Harass, abuse, or harm other users
- Submit false or misleading information
- List prohibited, dangerous, or illegal items
- Misrepresent yourself, your business, or your products
- Use automated systems to access the Service without permission
- Circumvent or attempt to circumvent any security measures
We reserve the right to remove any listing or content that violates these Terms.
8. User Content & Listings
Our Service allows you to post, link, store, share, and otherwise make available certain information, text, graphics, videos, or other material ("Content").
You are responsible for the Content you post, including its legality, reliability, and appropriateness.
By posting Content, you grant us the right to use, modify, publicly perform, publicly display, reproduce, and distribute such Content on and through the Service.
Content Standards: All listings must:
- Be accurate and truthful
- Not be misleading or deceptive
- Comply with all applicable laws
- Not infringe on third-party rights
- Not contain offensive, obscene, or harmful material
9. Intellectual Property
The Service and its original content, features, and functionality are owned by BAMUPRO and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.
You retain ownership of the Content you post, but grant us a license to display it on our platform.
10. Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service.
Upon termination, any outstanding star balance may be forfeited.
11. Disclaimer
Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied.
Specific Disclaimers:
- We do not guarantee the accuracy, completeness, or reliability of any listing
- We do not verify the identity, credibility, or legitimacy of any user
- We do not endorse or recommend any vendor, product, or service
- We are not responsible for any transaction between users
- We do not guarantee that the Service will be uninterrupted or error-free
12. Limitation of Liability
In no event shall BAMUPRO, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use the Service
- Any conduct or content of any third party on the Service
- Any transaction or interaction between users
- Any content obtained from the Service
- Unauthorized access, use or alteration of your transmissions or content
Third-Party Transactions: We are not liable for any losses, damages, or disputes arising from transactions between users and vendors. Users engage with vendors at their own risk.
13. Governing Law
These Terms shall be governed and construed in accordance with the laws of the Philippines, without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
14. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.
By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
